This Disclaimer explains the required professional review, verification, and responsibility that apply whenever BidBreak assists with construction estimates, scope, pricing, quantities, RFIs, proposals, or related preconstruction work.

1. Purpose of the Platform
BidBreak is an AI-assisted preconstruction platform designed to help construction professionals accelerate estimating and preconstruction workflows. The platform may assist users in generating construction estimates, trade breakdowns, material lists, labor estimates, equipment lists, requests for information (“RFIs”), clarifications, exclusions, proposal documents, scope reviews, quantity breakdowns, drawing references, and multiple regenerated estimate options. BidBreak is a decision-support and workflow-acceleration tool. It is not an engineering, architectural, quantity surveying, professional estimating, legal, accounting, safety, code-compliance, contracting, or consulting service. BidBreak does not replace licensed professionals, qualified estimators, trade expertise, site investigation, vendor or subcontractor quotations, or the user’s independent professional judgment.
2. AI-Generated Content
Content generated by BidBreak is produced using artificial intelligence, proprietary workflows, estimation logic, automated extraction and classification methods, third-party technologies, and project information provided or selected by users. Generated content may contain omissions, inaccuracies, incorrect quantities, incorrect labor assumptions, missing materials, incorrect interpretations, specification misunderstandings, drawing interpretation errors, duplicated items, outdated information, or conclusions unsupported by complete project documents. No generated output should be considered complete, final, certified, or guaranteed accurate. Similar inputs may produce different outputs, and regenerated estimate options may differ from earlier results without either result being correct. An output’s professional appearance, detail, confidence indicator, drawing reference, or inclusion in an exported document does not establish its accuracy or suitability.
3. User Responsibility
The user is solely responsible for reviewing every estimate; verifying quantities; reviewing specifications; checking drawing revisions and dimensions; reviewing schedules; confirming applicable code and manufacturer requirements; confirming product selections; verifying material, labor, equipment, and subcontractor pricing; verifying labor hours; reviewing RFIs, exclusions, clarifications, scopes, and proposal language; checking local market conditions, taxes, permits, freight, escalation, and availability; confirming installation methods, constructability, engineering requirements, and safety requirements; and checking every final bid value. Users must compare generated content against complete, current contract documents, addenda, bulletins, specifications, field conditions, quotations, applicable laws and codes, company estimating standards, and qualified professional advice. Users are solely responsible for every bid, proposal, purchase, commitment, contract, and construction decision submitted, issued, approved, or made using information from BidBreak.
4. No Guarantee
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDBREAK MAKES NO REPRESENTATION OR WARRANTY, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, REGARDING ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, PROJECT SUITABILITY, CONSTRUCTABILITY, CODE COMPLIANCE, AWARD LIKELIHOOD, PROFITABILITY, COST SAVINGS, BID COMPETITIVENESS, OR PROJECT SUCCESS. The platform and all generated content are provided on an “as is” and “as available” basis. BidBreak does not warrant that every document, page, note, symbol, schedule, detail, specification, revision, or project condition will be detected, interpreted, coordinated, or reflected in an output, or that use of the platform will prevent errors, omissions, losses, disputes, or claims.
5. Professional Judgment
BidBreak is intended to supplement—not replace—the training, knowledge, experience, review procedures, and professional judgment of qualified construction professionals. Users must independently evaluate whether generated content is reasonable and appropriate for the project, trade, jurisdiction, delivery method, schedule, and contractual requirements. Where architecture, engineering, surveying, safety, legal, code, manufacturer, or other specialized review is required, users should obtain advice from appropriately qualified and licensed professionals. BidBreak output is not a sealed design, professional certification, code opinion, means-and-methods plan, safety plan, or assurance of constructability.
6. Drawing Interpretation
Construction drawings and related documents may contain conflicts, missing information, unissued or superseded revisions, design inconsistencies, coordination issues, consultant errors, missing dimensions, illegible content, incomplete schedules, ambiguous notes, or conditions that cannot be determined from documents alone. Documents uploaded to BidBreak may also be incomplete, incorrectly labeled, compressed, scanned, rotated, corrupted, or missing referenced sheets or specifications. BidBreak cannot guarantee correct interpretation of every drawing, specification, symbol, dimension, detail, schedule, note, or relationship between disciplines. Drawing references provided by the platform are navigation aids only and do not confirm that the referenced source is current, controlling, complete, or correctly interpreted.
7. Pricing Disclaimer
Material pricing, labor pricing, equipment pricing, subcontractor pricing, freight, taxes, regional costs, market conditions, supplier pricing, tariffs, wages, productivity, availability, lead times, waste, escalation, and delivery charges change continually. Generated pricing may be inferred, historical, user-provided, estimated from incomplete context, or unavailable for a particular location, date, quantity, specification, supplier, or contract condition. All generated pricing, rates, allowances, markups, contingencies, and totals must be independently verified using current supplier quotations, subcontractor bids, labor agreements, tax and permit requirements, freight information, and the user’s own cost records before reliance or submission.
8. Scope Disclaimer
Generated scopes of work, exclusions, clarifications, RFIs, assumptions, alternates, qualifications, proposal language, material lists, labor breakdowns, equipment lists, and quantity breakdowns are starting points only. They may omit required work, include work outside the intended trade, misallocate responsibility, misunderstand design intent, or fail to reflect contractual risk and coordination requirements. Users remain solely responsible for reviewing, editing, supplementing, coordinating, approving, and issuing all project documents. BidBreak does not negotiate or accept contractual scope, identify every discrepancy, resolve design conflicts, or determine the legal effect of proposal language on the user’s behalf.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDBREAK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST CONTRACTS, LOST OPPORTUNITIES, MISSED BIDS, INCORRECT ESTIMATES, UNDERBIDS, OVERBIDS, PROJECT LOSSES, COST OVERRUNS, CHANGE ORDERS, PROCUREMENT ERRORS, CONSTRUCTION DEFECTS, REWORK, SCHEDULE IMPACTS, DELAYS, BUSINESS INTERRUPTION, LOSS OF DATA OR GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF OR RELIANCE ON THE PLATFORM OR GENERATED CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Nothing in this Disclaimer excludes liability that cannot lawfully be excluded. Any additional limitation, cap, or allocation of risk applicable to a user’s account is stated in the BidBreak Terms of Service.
10. Third-Party Information
Users may import, connect, reference, or copy information from Dropbox, QuickBooks, Procore, Buildertrend, Bluebeam, PlanGrid, Autodesk Construction Cloud, cloud storage providers, accounting platforms, plan rooms, project management systems, or other third-party systems. BidBreak does not control and is not responsible for the accuracy, completeness, currency, authorization, availability, formatting, security, or interpretation of information obtained from those systems. Users are responsible for confirming that imported information is authorized, complete, current, correctly mapped to the intended project, and consistent with controlling project documents. Third-party names are used only to identify potential sources of information and do not imply endorsement, affiliation, or availability of a particular integration.
11. Continuous Improvement
BidBreak continually improves and changes its AI models, prompts, extraction methods, estimation workflows, pricing logic, validation rules, generation processes, and user interfaces. Outputs may change over time as the platform evolves, even when similar or identical information is submitted. Product updates may alter how documents are interpreted, items are classified, estimates are structured, or generated options are presented. Users should retain reviewed and approved records appropriate to their business and should not assume that a future regeneration will reproduce an earlier result. A change in output does not represent a warranty that the newer or earlier output is accurate.
12. Acceptance and Acknowledgment
By creating an account, acknowledging this Disclaimer, or using BidBreak, the user confirms that the user has read and understood this Disclaimer and agrees that BidBreak assists—but does not replace—the user’s professional review and decision-making. The user acknowledges and agrees that the user remains fully and solely responsible for every estimate, every proposal, every quantity, every submitted bid, every purchase, and every construction decision. The user must not submit, issue, approve, purchase from, or construct from generated content without independent review appropriate to the project and the user’s professional responsibilities.
